AGREEMENT By using BigManage ("Service") you agree to these Terms of Use. If you do not agree, do not use the Service. 2. SERVICE OVERVIEW BigManage is a chat-prompt-driven collaboration and company-management tool that extracts and organizes information from user chat prompts to manage companies, employees, positions, hierarchy, access controls, attachments, links, reminders, and integrations with third-party messaging platforms. The Service is intentionally conversational — most actions are performed via chat prompts rather than traditional menus and buttons. 3. SUPPORTED PLATFORMS BigManage can be used via Instagram, Meta Messenger, WhatsApp, Discord, Telegram, email and similar messaging platforms. When you connect BigManage to a third-party platform, you must also comply with that platform’s terms and policies. 4. KEY FEATURES (SUMMARY) • Company Management: create, join, switch, transfer, and rename companies. • Employee & Position Management: add employees (by email or accept request), create/rename/delete positions, assign/unassign employees to positions, set and modify hierarchical relations. Note: once an employee joins a company they cannot be removed by deletion—only their access can be managed. • Access Controls: general access, time-limited access, past (historical) access and purpose-based access can be set at company, position, or employee level. • Managers: managers have elevated permissions (create positions/departments, manage access, and perform other company-wide actions). • Attachments & Files: create/upload images and non-image files, create images from text or reference images, modify files, search attachments. • Links & External Resources: add, study and manage external URLs for company/position/employee reference. • Reminders & Notifications: schedule company-, position-, or employee-level reminders and notifications with flexible recurrence. • Customization: modify timezone per user/company, automatic language selection based on last-used language, optional voice replies (where supported). 5. ACCOUNT & COMPANY RULES a. Creating / Joining: To begin you create or request to join a company. Company creators/owners may transfer ownership following verification procedures. b. Employee Lifecycle: Employees may be added by email or join by request. Employees who join a company cannot be deleted; administrators should instead change access levels if separation is required. c. Roles & Hierarchy: Positions (roles) may be created, renamed, assigned and deleted; hierarchical relationships can be adjusted to represent reporting lines. 6. USER OBLIGATIONS You must: • Use the Service lawfully and only for permitted purposes; • Maintain the confidentiality of credentials and promptly report unauthorized access; • Ensure you have permission to add/manage users, roles, or data that relate to third parties; • Not attempt to bypass access controls, reverse-engineer the Service, or otherwise abuse the system. 7. DATA, PRIVACY & SECURITY • Data Storage: BigManage transfers data via supported platforms and stores data in isolated data centers in Germany. We do not sell personal data. • Responsibility: You remain responsible for content you upload or provide to the Service (attachments, links, personal data). Ensure you have appropriate rights and consents for any third-party content. • GDPR & Compliance: The Service is designed with GDPR considerations in mind; users and controllers are responsible for their own compliance (e.g., lawful bases, data subject requests). See the Privacy Policy for full details. • Security Measures: We apply technical and organizational safeguards appropriate to the risk, but cannot guarantee absolute security. Promptly report suspected breaches to the contact email above. 8. INTEGRATIONS & THIRD-PARTY PLATFORMS When you operate BigManage through third-party platforms (Instagram, Telegram, Discord, etc.), actions and data flows may be subject to those platforms’ APIs, rate limits, feature support, and policies. We are not responsible for third-party outages, changes, or policy enforcement. 9. CONTENT AND ACCEPTABLE USE • Prohibited: illegal content, harassment, doxxing, pornographic or extremist material, malware, or activity that violates a connected platform’s rules. • Attachments & Links: You may upload and instruct BigManage to process files and URLs; do not upload content you do not have rights to or that violates law or policy. 10. REMINDERS, VOICE, LANGUAGE, TIMEZONE • Reminders: you may schedule reminders for company, positions, or employees; accuracy, delivery and platform support are subject to platform constraints. • Voice Replies: voice reply support varies by platform; enabling voice replies may send audio through supported channels. • Automatic Language: BigManage uses the last language seen in conversation as the default language for replies. 11. FEES & PRICING Pricing details are provided separately and/or discussed on a per-use-case basis. By using paid features you agree to the billing terms specified in your contract or order. 12. INTELLECTUAL PROPERTY All rights, title and interest in the Service and its content (software, designs, documentation, trademarks) remain with Idealistic or its licensors. You are granted a non-exclusive, non-transferable right to use the Service under these Terms. 13. LIMITATION OF LIABILITY To the maximum extent permitted by law, Idealistic and affiliates are not liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, data, or goodwill arising from your use of the Service. 14. TERMINATION AND SUSPENSION We may suspend or terminate access for violation of these Terms, abuse of the Service, or legal requirements. You may stop using the Service at any time. 15. CHANGES TO THESE TERMS We may update these Terms of Use; material changes will be communicated. Continued use after notice constitutes acceptance. 16. GOVERNING LAW These Terms are governed by the laws specified in your contract or, absent a contract, by the laws applicable to Idealistic as stated on our website. 17.
