AGREEMENT By using Idealistic ("Service"), provided by Idealistic ("we", "us"), you agree to these Terms of Use. If you do not agree, do not use the Service. These Terms apply to all users, administrators, and visitors of the Service. 2. SERVICE OVERVIEW & AI DISCLAIMER Idealistic is a chat-prompt-driven collaboration and company-management tool. It extracts and organizes information from user chat prompts to manage companies, employees, hierarchy, and access controls. AI Accuracy Warning: The Service uses Artificial Intelligence (AI) and Natural Language Processing (NLP) to interpret commands. While we strive for accuracy, AI can occasionally misinterpret intent or provide incorrect information ("hallucinations"). You agree to verify important outputs (e.g., salary changes, terminations) before acting on them. 3. SUPPORTED PLATFORMS Idealistic operates via third-party interfaces including, but not limited to, Instagram, Meta Messenger, WhatsApp, Discord, Telegram, and Email. - You acknowledge that Idealistic does not own or control these platforms. - By connecting Idealistic to a third-party platform, you agree to comply with that platform’s Terms of Service and Privacy Policy. 4. KEY FEATURES (SUMMARY) • Company Management: Create, join, switch, transfer, and rename companies. • Employee & Position Management: Add employees, create/rename positions, and assign hierarchies. • Access Controls: Set time-limited, historical, or purpose-based access permissions. • Managers: Managers have elevated permissions to modify company structures. • Attachments & Files: Upload images/files; create AI-generated images from text. • Links & External Resources: Manage external URLs for team reference. • Reminders & Notifications: Schedule recurring or one-time alerts. • Customization: Timezone adjustments, automatic language detection, and optional voice replies. 5. ACCOUNT, COMPANY RULES & DATA RETENTION a. Creating / Joining: Users create or request to join a company. Company owners may transfer ownership following verification. b. Employee Lifecycle & Anonymization: To preserve the integrity of organizational history (audit logs, reporting lines), user records are not simply "deleted" upon separation. Instead, when an employee leaves or requests deletion, their personally identifiable information (PII) is permanently ANONYMIZED. The historical record of their actions remains, but is no longer linked to a specific identity. c. Roles & Hierarchy: Hierarchical relationships can be adjusted to represent reporting lines. You are responsible for maintaining accurate access levels. 6. USER OBLIGATIONS You must: • Use the Service lawfully and only for permitted business purposes; • Maintain the confidentiality of your account credentials; • Ensure you have the legal right to add employee data to the system; • Not attempt to bypass access controls, reverse-engineer the Service, or scrape data. 7. DATA, PRIVACY & SECURITY • Data Storage: We store data in secure data centers within the EEA (Germany/Estonia). However, data in transit is processed via the third-party messaging platform of your choice. • Privacy Policy: Your use of the Service is also governed by our Privacy Policy, which is incorporated here by reference. • Responsibility: You are the "Data Controller" for the content you upload (employee data, files). You must ensure you have a lawful basis for processing this data. • Security: We apply enterprise-grade technical safeguards. However, we cannot guarantee the security of data while it is flowing through third-party apps (e.g., WhatsApp). 8. INTEGRATIONS & THIRD-PARTY RISKS The Service relies on the availability of third-party platforms (e.g., Telegram, Discord). • Idealistic is NOT responsible for outages, API changes, account bans, or privacy breaches originating from these third-party platforms. • If a third-party platform ceases to support our integration, we may suspend related features without liability. 9. CONTENT AND ACCEPTABLE USE • Prohibited: You may not use the Service to generate or store illegal content, harassment, malware, or sexually explicit material. • Compliance: You agree not to use the Service in a way that violates the policies of the underlying messaging platform (e.g., violating WhatsApp's Business Policy). 10. REMINDERS, DEADLINES & AUTOMATION • Best Effort Delivery: Reminders and notifications are sent on a "best effort" basis. Delivery may be affected by third-party platform constraints or network issues. We are not liable for missed deadlines resulting from undelivered notifications. • Automatic Language: The Service defaults to the last language detected in the conversation. 11. FEES & PRICING • Pricing Models: Services may be offered via subscription tiers or custom enterprise agreements. • Payment Terms: Specific pricing and billing cycles will be agreed upon at the time of purchase or outlined in a separate Service Order. • Changes: We reserve the right to modify pricing with 30 days' notice for active subscriptions. 12. INTELLECTUAL PROPERTY All rights, title, and interest in the Service (software, code, designs, documentation) remain with Idealistic. You are granted a limited, non-exclusive, revocable license to use the Service. You retain ownership of the data you input into the system. 13. LIMITATION OF LIABILITY To the maximum extent permitted by law: • Idealistic is not liable for indirect, incidental, or consequential damages (including loss of data, profits, or goodwill). • Our total cumulative liability for any claims arising out of these Terms shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim. • We accept no liability for data compromised due to the security failures of third-party messaging platforms. 14. TERMINATION We may suspend or terminate your access immediately if you violate these Terms or if required by law. You may terminate your use of the Service at any time by contacting support. 15. CHANGES TO THESE TERMS We may update these Terms of Use. Material changes will be notified via the Service or email. Continued use after the effective date constitutes acceptance of the new Terms. 16. GOVERNING LAW & JURISDICTION These Terms are governed by the laws of the Hellenic Republic (Greece). Any disputes arising from these Terms shall be resolved in the competent courts of Athens, Greece, unless otherwise specified in a valid Enterprise Contract. 17.
