1. AGREEMENT
By using Idealistic ("Service"), provided by Idealistic OÜ ("we", "us"), you agree to these Terms of Use. If you do not agree, do not use the Service. These Terms apply to all users, administrators, and visitors of the Service.

2. SERVICE OVERVIEW & AI DISCLAIMER
Idealistic is a dynamic, prompt-driven data processing and organizational structuring platform. It interprets user-provided inputs to create, modify, manage, and retrieve relational data representing organizational hierarchies, resource allocations, operational workflows, and access permissions. The Service is intentionally conversational and operates primarily via text, audio, or other supported input modalities.

AI Accuracy Warning: The Service relies on Artificial Intelligence (AI) and Natural Language Processing (NLP) to interpret intent and execute commands. AI is probabilistic and may occasionally misinterpret commands or generate inaccurate outputs ("hallucinations"). You bear the sole responsibility for verifying the accuracy of all actions, structural changes, and data outputs generated by the Service before relying upon them for business decisions.

3. THIRD-PARTY TRANSIT INFRASTRUCTURES
The Service operates via third-party communication interfaces and messaging infrastructure (including, but not limited to, platforms provided by Meta, Discord, Telegram, or email providers).
- You acknowledge that Idealistic does not own, control, or govern these platforms.
- By connecting the Service to a third-party platform, you agree to comply with that platform’s Terms of Service and Privacy Policy.

4. CORE CAPABILITIES & FUNCTIONALITIES
The Service is constantly evolving. While specific interfaces and tools may change, the Service generally provides functionalities within the following categories:
- Organizational Structuring: The ability to establish, define, and modify hierarchical relationships, administrative boundaries, and operational units.
- Identity & Access Management: The provisioning of user profiles, assignment of roles, and enforcement of conditional, temporal, or purpose-based access controls to organizational data.
- Data Ingestion & Asset Management: The capability to upload, parse, store, and organize user-provided text, multimedia files, and external URLs for organizational reference.
- Automated & Event-Driven Operations: The scheduling, tracking, and execution of time-based alerts, asynchronous notifications, and workflow automations.
- Generative & Multimodal Processing: The utilization of AI to process varied input types (e.g., text, voice, visual) and generate synthesized outputs, summaries, or digital assets.

5. ACCOUNT, ORGANIZATIONAL RULES & DATA RETENTION
a. Access & Authorization: Users may create or request access to organizational instances within the Service. Administrators are responsible for verifying and managing such access.
b. Record Integrity & Anonymization: To preserve the integrity of organizational history (e.g., audit logs, operational timelines), user records are not simply "deleted" upon separation. Instead, when a user leaves or requests deletion, their personally identifiable information (PII) is permanently ANONYMIZED. The historical record of actions remains, but is severed from specific identity markers.
c. Hierarchy Maintenance: You are solely responsible for maintaining accurate relational structures and access levels within your organizational instance.

6. USER OBLIGATIONS
You must:
- Use the Service lawfully and only for permitted business operations;
- Maintain the confidentiality of your account credentials and digital signatures;
- Ensure you have the lawful right and necessary consents to input third-party data into the system;
- Not attempt to bypass access controls, reverse-engineer the Service, or scrape data.

7. DATA, PRIVACY & SECURITY
- Data Storage: We store processed data in secure data centers within the EEA. However, data in transit is routed via the third-party messaging platform of your choice.
- Privacy Policy: Your use of the Service is governed by our Privacy Policy, incorporated herein by reference.
- Responsibility: You act as the "Data Controller" for the organizational content you upload or transmit. You must ensure lawful processing bases exist for this data under applicable law.
- Security: We apply enterprise-grade safeguards; however, we cannot guarantee the security of data while it transits through third-party infrastructure.

8. INTEGRATIONS & EXTERNAL RISKS
The Service's availability is contingent on third-party platform APIs.
- Idealistic is NOT responsible for outages, API deprecations, account bans, or data breaches originating from these external platforms.
- If a third-party provider limits or ceases to support our integration, we may suspend related capabilities without liability.

9. CONTENT AND ACCEPTABLE USE
- Prohibited Activities: You may not use the Service to generate, transmit, or store illegal content, harassment, malware, or sexually explicit material.
- Compliance: Your usage must not violate the Acceptable Use policies of the underlying transit platform (e.g., WhatsApp Business Policy).

10. AUTOMATIONS, TIMING & MULTIMODAL INPUTS
- Asynchronous Actions: Any scheduled events, reminders, or automations are executed on a "best-effort" basis. Delivery latency or failure may occur due to network conditions or third-party infrastructure limitations. We accept no liability for missed deadlines or operational delays caused by automation failures.
- Multimodal Capabilities: The Service may process varied inputs (such as audio or image files) subject to the limitations of the third-party transit platform being used.
- Localization: The Service may dynamically adjust its output language or timezone formatting based on algorithmic detection of your inputs or organizational settings.

11. FEES, PRICING & NO REFUNDS
- Pricing Models: Services may be offered via subscription tiers or custom enterprise agreements.
- Payment Terms: Billing cycles will be agreed upon at the time of purchase or outlined in a separate Service Order.
- No Refunds & EU Waiver: The Service is a business-to-business (B2B) tool. All purchases and subscription fees are final and non-refundable. To the extent you qualify as a consumer under EU law, by completing your purchase, you expressly consent to the immediate provision of the digital service and acknowledge that you thereby waive and forfeit your 14-day right of withdrawal under the EU Consumer Rights Directive.
- Changes: We reserve the right to modify pricing with 30 days' notice for active subscriptions.

12. INTELLECTUAL PROPERTY
All rights, title, and interest in the Service (software, algorithms, designs, documentation) remain with Idealistic. You are granted a limited, non-exclusive, revocable license to utilize the capabilities of the Service. You retain ownership of the raw data you input.

13. LIMITATION OF LIABILITY
To the maximum extent permitted by law:
- Idealistic is not liable for indirect, incidental, or consequential damages (including loss of data, profits, or goodwill).
- Our total cumulative liability for any claims arising out of these Terms shall not exceed the amount you paid to us for the Service in the twelve (12) months preceding the claim.
- We accept no liability for data compromised due to the security failures of external transit platforms.

14. TERMINATION
We may suspend or terminate your access immediately for violation of these Terms or legal requirements. You may terminate your use of the Service at any time.

15. CHANGES TO THESE TERMS
We may update these Terms of Use. Material changes will be communicated via the Service. Continued use after the effective date, or completion of our digital signature prompt, constitutes acceptance of the new Terms.

16. GOVERNING LAW & JURISDICTION
These Terms are governed by the laws of the Hellenic Republic (Greece). Any disputes arising from these Terms shall be resolved in the competent courts of Athens, Greece, unless otherwise specified in a valid Enterprise Contract.
